Terms of Service

1. Who these terms cover
These terms apply to the NeriOS website (nerios.io), the NeriOS web application (app.nerios.io), the NeriOSmobile applications, and any agent, vendor or portal link (together, the “Service”), which is operated by Fairlead Technologies, LLC(“Fairlead,” “we,” “us”). By accessing or using the Service you agree to these terms. If you do not agree, do not use the Service.
If you use the Service for an organization, you confirm you are authorized to accept these terms for it, and the organization is bound as well. If Fairlead and your organization have signed a separate written agreement, that agreement controls wherever it conflicts with these terms; otherwise these terms are the whole agreement for your use of the Service.
2. Access is by invitation
Accounts and links are provisioned by Fairlead or by the organization that invited you. You must keep your credentials and access links confidential, use them only yourself, and tell us promptly if you think they have been compromised. You must be an adult using the Service for work. We may treat anyone using your credentials or link as you, and you are responsible for all activity under your account or link. We may suspend, restrict or end any access, for any person or organization, at any time and without notice.
3. The Service is an information tool, not a decision-maker
NeriOS is an information and coordination system. It does not make operational, navigational, safety, dispatch, scheduling or personnel decisions. Those decisions, and the responsibility for them, stay with you, your organization and the licensed professionals who hold that authority. Nothing in the Service is operational, navigational, safety, legal, tax, accounting or professional advice, and you must not rely on it as the sole basis for any such decision. You are responsible for checking anything the Service shows you against your own records, instruments and judgment before acting on it.
4. Predictions, analysis and AI output
Predictions, estimates, recommendations, summaries and other output generated by software or artificial intelligence (including MOCai) are advisory only. They may be wrong, incomplete or out of date. They do not assign a pilot, order a movement or act on any board, and you must review them before relying on them. We do not warrant their accuracy.
5. Records, billing and customer review
The Service assembles service records, tickets, charges and invoice drafts from data that you, your organization and others enter. You are responsible for reviewing and approving all records and amounts before they are finalized, sent or relied on. We do not warrant that any calculation, rate, tariff interpretation or total is correct, and we are not responsible for billing disputes, underbilling or overbilling.
6. Your data and your content
You and your organization are responsible for the accuracy, legality and completeness of everything you submit, and for having the right to submit it, including any personal information about other people. You give Fairlead a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit and display that content as needed to operate, secure, support and maintain the Service, and to comply with law. You must not submit anything you do not have the right to submit. Our handling of personal information is described in the privacy policy, which describes our practices and is not a contractual commitment (if it conflicts with these terms, these terms control); nothing in these terms commits us to any particular retention period, backup, export or return of data.
7. Acceptable use
You agree not to: (a) use the Service unlawfully or to submit false or misleading information; (b) access or try to access any account, organization, data or system you are not authorized to use; (c) probe, scan, test, disrupt or overload the Service, or bypass its access controls; (d) scrape, copy, resell, reverse engineer or build a competing product from the Service; (e) introduce malware; or (f) impersonate any person or organization. Automated voice calls, text messages and notifications sent through the Service are governed by the SMS terms and the applicable notices.
8. Our property
The Service, including the NeriOS and MOCai names, the Fairlead name and marks, software, interface designs, text and images, belongs to Fairlead or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service as these terms allow. No other right is granted. If you give us feedback or suggestions, we may use them without restriction or payment.
9. Changes, availability and no commitments
The Service is provided on an as-available basis. We may change, add, suspend or remove any feature, content, integration or the whole Service at any time, and, except as stated in the SMS terms, we do not promise any particular feature, uptime, support, response time, update schedule or continued availability. Product descriptions on the website are informational and are not offers, specifications or warranties. Third-party services, links and carriers are outside our control and we are not responsible for them.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE AND NON-INFRINGEMENT. FAIRLEAD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE OR SECURE, THAT DATA WILL NOT BE LOST OR ALTERED, OR THAT ANY OUTPUT IS CORRECT OR SUITABLE FOR ANY OPERATIONAL, NAVIGATIONAL OR SAFETY PURPOSE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAIRLEAD AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, VESSEL OR CARGO DELAY, OR OPERATIONAL OR BUSINESS INTERRUPTION, OR FOR ANY DAMAGE TO VESSEL OR CARGO, EVEN IF ADVISED OF THE POSSIBILITY. FAIRLEAD’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD $100 AND (B) THE FEES PAID TO FAIRLEAD FOR THE SERVICE BY YOUR ORGANIZATION IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. THESE LIMITS APPLY TO EVERY LEGAL THEORY, INCLUDING NEGLIGENCE, AND DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW.
12. Your responsibility to us
If you use the Service for an organization, that organization will defend and indemnify Fairlead and its owners, officers, employees and contractors against any third-party claim and resulting loss or expense (including reasonable legal fees) arising from content submitted through its accounts, its misuse of the Service, or its breach of these terms or of law, except to the extent caused by Fairlead’s own gross negligence or willful misconduct.
13. Suspension and ending
You may stop using the Service at any time. We may suspend or end the Service, or your access, at any time for any reason. Sections that by their nature should survive ending (including 5, 6, 8 and 9 through 15) do.
14. Governing law and disputes
These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute relating to the Service or these terms must be brought only in the state or federal courts located in Texas, and you consent to their jurisdiction. Any claim must be brought within two years after it arises, and only on an individual basis, not as a plaintiff or class member in any class or representative proceeding.
15. General
We may update these terms at any time by posting a new version here with a new date; your continued use after that means you accept it. If any part of these terms is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these terms; we may. We are not responsible for any failure or delay caused by events beyond our reasonable control. These terms, together with the privacy policy and SMS terms, are the entire agreement about the Service (subject to Section 1). They create no partnership, agency or employment between us and no third-party beneficiaries. The SMS terms govern changes to the SMS program.
